Bylaw Change from Ballot

On this year’s ballot there was a proposed change to ASCA’s Bylaws. Here are the results.Approve: 876

RESOLVED, That Article VII, Section 7.4 of the Bylaws be, and it hereby is, amended to read as follows:

A candidate for election as a Director of the Club must have been a Full Member of the Club, as defined in ARTICLE IV, SECTION 1 of these BYLAWS, for a period of eight (8) continuous (without a lapse in Membership) years prior to March 1 of the year of standing for election as Director, and must remain in good standing as a Full Member during such eight (8) year period, Director’s candidacy, and entire tenure as a Director. The Board of Directors may establish rules governing the procedures, deadline dates and disclosures relating to such election and the candidates for election.

Old language which was changed:

Comments/Rationale: This Bylaw change is submitted to the General Membership in compliance with section 21 of the ASCA Bylaws; Article XXI Amendments. The Board of Directors requests the Membership approve this change for the following reasons:
1. Questions have regularly been raised as to the meaning of “consecutive” length of membership requirements where it is found in any of ASCA’s Governing Documents.
2. ASCA has always intended any Membership requirement listed in the By Laws, Rules or Policies be an unbroken string of time in good standing as each position requires.
3. The descriptive word of “consecutive” has been used but often questioned.
4. Changing the language to “continuous”, (without a lapse in Membership), will hopefully better explain what is meant when a length of membership is required.
5. This amended language has been changed in all of ASCA’s Governing Documents except for the By Laws, which is dependent on a vote of the Membership.
6. Clearly defines the eight qualifying years must be completed in good standing.
